1. Acceptance of Terms

By accessing, browsing, or using eltee.ai and eltree.app (collectively "the Service", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. References to "eltee.ai" throughout these Terms shall be understood to include eltree.app, which is a service operated under the same entity.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and eltee.ai. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of Service

eltee.ai is an AI-powered marketing content creation platform. eltree.app is a link-in-bio and content grid builder that allows users to create personalised landing pages with auto-extracted content tiles, emoji reactions, and stories. Together, these services enable users to create and share professional marketing content including, but not limited to:

  • AI-generated marketing videos with text-to-speech narration
  • AI-generated images using various generative AI models
  • AI-written captions, copy, and social media post text
  • Scheduling and publishing content to third-party social media platforms
  • Personalised link-in-bio pages with content grids (via eltree.app)

The Service relies on third-party AI providers to generate content. The availability, quality, and capabilities of AI-generated outputs may vary and are subject to change without notice as underlying AI models are updated or replaced.

3. Account Registration

To use the Service, you must create an account. By registering, you agree to the following:

  • Age Requirement: You must be at least 16 years of age to create an account and use the Service. If you are under 18, you confirm that you have obtained consent from a parent or legal guardian.
  • Accurate Information: You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
  • Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at support@eltee.ai if you suspect any unauthorised access to your account.
  • One Account Per Person: Each individual may maintain only one account. Creating multiple accounts to abuse promotions, credits, or any other aspect of the Service is strictly prohibited and may result in immediate termination of all associated accounts.

4. Credits and Payment

The Service operates on a credit-based system using a virtual currency called "Eltokens". By purchasing or using Eltokens, you agree to the following terms:

  • Purchasing Credits: Eltokens are purchased through our payment processor, Stripe. All transactions are processed securely via Stripe and are subject to Stripe's terms of service. You agree to provide valid and authorised payment information when making a purchase.
  • Non-Transferable: Eltokens are non-transferable. You may not sell, trade, gift, or otherwise transfer Eltokens to another user or account.
  • Credit Costs Displayed: The Eltoken cost for each feature or generation is displayed clearly before you confirm the action. By proceeding with a generation, you authorise the deduction of the stated number of Eltokens from your balance.
  • Failed Generations: If an AI generation fails due to a system error or third-party provider failure, the Eltokens spent on that generation will be automatically refunded to your account balance. You do not need to contact support for failed generation refunds.
  • Pricing Currency: All prices are displayed and charged in United States Dollars (USD) unless explicitly stated otherwise.
  • No Monetary Value: Eltokens have no real-world monetary value outside of the Service and cannot be redeemed for cash.

5. Subscription Plans

eltee.ai may offer subscription plans that provide recurring allocations of Eltokens and access to additional features. The following terms apply to all subscriptions:

  • Recurring Billing: Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). By subscribing, you authorise us to charge your payment method at the start of each billing cycle.
  • Cancel Anytime: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
  • Continued Access: Upon cancellation, you will retain access to your subscription benefits, including any remaining Eltokens from that billing cycle, until the end of the current billing period. After that date, your account will revert to the free tier (if available) or become inactive.
  • Plan Changes: We reserve the right to modify subscription tiers, pricing, and included features. Existing subscribers will be notified of material changes at least 30 days in advance via email.

6. Refund Policy

We want you to be satisfied with the Service. Our refund policy is as follows:

  • 7-Day Money-Back Guarantee: If you are not satisfied with the Service, you may request a full refund on your first purchase within 7 days of the transaction date. This guarantee applies to your first purchase only and is limited to one refund per user.
  • Failed Generations: Eltokens consumed by AI generations that fail due to system or provider errors are automatically refunded to your account balance. No action is required on your part.
  • Unused Credits: After the 7-day money-back guarantee period, unused Eltokens are non-refundable. We encourage you to use your credits within a reasonable timeframe.
  • Requesting a Refund: To request a refund under the 7-day guarantee, please contact us at support@eltee.ai with your account email address and transaction details. Refunds are processed back to the original payment method and may take 5-10 business days to appear on your statement.
  • Chargebacks: If you initiate a chargeback or payment dispute with your bank or credit card provider without first contacting us, we reserve the right to suspend your account pending investigation.

7. User Content

"User Content" refers to any images, text, audio, video, or other materials that you upload, submit, or provide to the Service.

  • Ownership: You retain full ownership of all User Content that you upload to the Service. We do not claim any ownership rights over your uploaded content.
  • License to Process: By uploading User Content, you grant eltee.ai a limited, non-exclusive, worldwide licence to process, transform, and transmit your content solely for the purpose of providing the Service to you. This includes sending your content to third-party AI providers for generation purposes. This licence terminates when you delete your content or your account.
  • Your Responsibility: You are solely responsible for ensuring that your User Content does not violate any applicable laws, third-party rights (including intellectual property and privacy rights), or the terms of service of any third-party platform to which you publish content through the Service.
  • Content Removal: We reserve the right to remove any User Content that we reasonably believe violates these Terms, applicable law, or the rights of others, without prior notice.

8. AI-Generated Content

The Service uses artificial intelligence models provided by third parties to generate content on your behalf. By using these features, you acknowledge and agree to the following:

  • No Guarantee of Accuracy: AI-generated outputs, including images, videos, text, and captions, may contain errors, inaccuracies, artefacts, or content that is unsuitable for your intended purpose. We do not guarantee the accuracy, completeness, quality, or suitability of any AI-generated content.
  • Your Responsibility to Review: You are solely responsible for reviewing, editing, and approving all AI-generated content before publishing, distributing, or using it in any capacity. You should not publish AI-generated content without first verifying that it meets your standards and complies with applicable laws and platform policies.
  • Ownership of AI Outputs: Subject to the terms of our underlying AI providers, ownership of AI-generated content created through the Service belongs to you. You may use AI-generated content for personal or commercial purposes.
  • Similarity of Outputs: Due to the nature of AI models, it is possible that different users may receive similar or identical AI-generated outputs from similar prompts. We do not guarantee the uniqueness of any AI-generated content.
  • Evolving Technology: AI models and their outputs are subject to change as technology evolves. The quality, style, and characteristics of AI-generated content may change over time without notice.

9. Third-Party Platforms

The Service integrates with third-party social media platforms and services, including but not limited to TikTok, Instagram, Twitter (X), Facebook, LinkedIn, and Reddit.

  • Third-Party Terms: Your use of any third-party platform through the Service is subject to that platform's own terms of service, community guidelines, and privacy policies. It is your responsibility to review and comply with those terms.
  • No Responsibility for Third Parties: We are not responsible for the actions, policies, downtime, or content moderation decisions of any third-party platform. If a third-party platform removes your content, suspends your account, or takes any other action, we bear no liability for such actions.
  • API Changes: Third-party platforms may modify or discontinue their APIs at any time, which may affect the availability or functionality of certain features within the Service. We will make reasonable efforts to maintain integrations but cannot guarantee uninterrupted access to third-party features.
  • Account Connections: When you connect a third-party account to the Service, you authorise us to access and interact with that account on your behalf within the scope of the features you use. You may disconnect third-party accounts at any time through your account settings.

10. Prohibited Use

You agree not to use the Service for any of the following purposes:

  • Illegal Content: Generating, uploading, or distributing content that is illegal, promotes illegal activities, or violates any applicable law or regulation.
  • Harmful or Abusive Content: Creating content that is defamatory, obscene, hateful, harassing, threatening, or that promotes violence or discrimination against any individual or group.
  • Spam and Unsolicited Content: Using the Service to generate or distribute spam, unsolicited bulk messages, or any form of automated mass communication that violates platform policies or applicable anti-spam laws.
  • Impersonation: Using the Service to impersonate any person, organisation, or entity, or to misrepresent your affiliation with any person, organisation, or entity.
  • Reverse Engineering: Attempting to reverse-engineer, decompile, disassemble, or otherwise extract the source code or underlying algorithms of the Service or its components.
  • Scraping and Data Collection: Using automated tools, bots, scrapers, or other means to extract data from the Service without our express written permission.
  • Automated Abuse: Using scripts, bots, or other automated means to interact with the Service in a manner that exceeds normal human usage patterns, places an unreasonable load on our infrastructure, or circumvents rate limits or usage restrictions.
  • Circumventing Security: Attempting to bypass, disable, or interfere with any security features, authentication mechanisms, or access controls of the Service.
  • Intellectual Property Infringement: Using the Service to generate content that infringes upon the intellectual property rights, trademarks, or copyrights of any third party.

Violation of any of these prohibitions may result in immediate suspension or termination of your account, forfeiture of any remaining Eltokens, and potential legal action.

11. Account Suspension and Termination

  • Suspension by Us: We reserve the right to suspend or restrict access to your account, without prior notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or pose a risk to the Service or other users. We will make reasonable efforts to notify you of the reason for suspension where possible.
  • Termination by Us: We may permanently terminate your account for serious or repeated violations of these Terms. In the event of termination for cause, you will forfeit any remaining Eltokens and will not be entitled to a refund.
  • Account Deletion by You: You may delete your account at any time through your account settings or by contacting us at support@eltee.ai. Upon deletion, your account data will be handled in accordance with our Privacy Policy.
  • Effect of Termination: Upon termination or deletion of your account, your right to use the Service ceases immediately. Any provisions of these Terms that by their nature should survive termination (including, without limitation, sections on limitation of liability, indemnification, and governing law) shall survive.

12. Limitation of Liability

To the fullest extent permitted by applicable law:

  • As-Is Basis: The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • No Guarantee of Availability: We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
  • Limitation of Damages: In no event shall eltee.ai, its directors, employees, partners, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
  • Liability Cap: Our total aggregate liability to you for any and all claims arising out of or relating to the Service or these Terms shall not exceed the total amount you have paid to eltee.ai in the twelve (12) months immediately preceding the event giving rise to the claim.
  • AI Output Disclaimer: We expressly disclaim all liability for any consequences arising from your reliance on, publication of, or use of AI-generated content produced through the Service.

13. Indemnification

You agree to indemnify, defend, and hold harmless eltee.ai, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service or any activity conducted through your account;
  • User Content you upload, create, or distribute through the Service;
  • AI-generated content you publish, distribute, or use;
  • Your violation of these Terms or any applicable law or regulation;
  • Your infringement of any third-party rights, including intellectual property rights, privacy rights, or publicity rights;
  • Any dispute between you and a third party arising from content posted through the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer within the European Union, you may also be entitled to bring proceedings in the courts of your country of residence. Nothing in these Terms affects your statutory rights as a consumer under applicable local law.

15. Changes to Terms

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the bottom of this page.

  • Material Changes: For material changes that significantly affect your rights or obligations, we will notify you via email to the address associated with your account at least 14 days before the changes take effect.
  • Continued Use: Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
  • Review Responsibility: We encourage you to review these Terms periodically to stay informed of any updates.
